Part I — Introduction and Scope
1.1Purpose
These Standard Auction Terms (“Auction Terms”) govern the specific auction identified on the corresponding Auction Page.
They establish the contractual framework applicable to the auction, the bidding process, the purchase of horses or other listed assets, and the respective rights and obligations of the Auction Organizer and participating Buyers.
These Auction Terms apply exclusively to the relevant auction and operate in conjunction with the AOS Platform Terms.
1.2Parties
This auction involves three distinct parties:
The Auction Organizer
The independent legal entity or individual identified on the Auction Page as the organizer of the auction.
The Organizer is solely responsible for:
- organizing the auction;
- publishing the lots;
- determining the commercial conditions;
- accepting bids where applicable;
- completing the sale;
- complying with all applicable laws.
The Buyer
Any individual or legal entity registered and approved to participate in the auction and submit bids.
AOS
AOS Equestrian is the technology platform owned and operated by Equestrian Partners, Inc.
AOS provides the technological infrastructure through which the auction is conducted.
AOS is not the seller, the buyer, the consignor or the organizer of the auction unless expressly stated otherwise.
1.3Scope
These Auction Terms govern, among other matters:
- buyer registration;
- bidding procedures;
- reserve prices;
- purchase prices;
- buyer premiums;
- payment obligations;
- ownership transfer;
- delivery;
- organizer responsibilities;
- buyer responsibilities;
- dispute procedures.
They apply from the moment a participant registers for the auction until all obligations arising from the auction have been fulfilled.
1.4Relationship with the Platform Terms
These Auction Terms supplement the AOS Platform Terms.
By participating in the auction, each participant agrees to be bound by both documents.
Where these Auction Terms regulate matters specific to the auction, they shall prevail over the Platform Terms.
For all other matters relating to the use of the Platform, the Platform Terms shall continue to apply.
1.5Organizer Information
The identity of the Organizer is displayed on the Auction Page and forms an integral part of these Auction Terms.
The Organizer is responsible for ensuring that its identity and contact information remain accurate and up to date throughout the auction.
1.6Auction Information
Each auction shall specify, at a minimum:
- Auction Name;
- Organizer;
- Auction Format;
- Opening Date and Time;
- Closing Date and Time;
- Currency;
- Applicable Buyer’s Premium;
- Payment Deadline;
- Accepted Payment Methods;
- Governing Law (where selected);
- Jurisdiction (where selected).
These commercial parameters form part of the Auction Terms and are incorporated automatically into this agreement.
1.7Acceptance
Before submitting any bid, every Buyer must expressly accept these Auction Terms.
Acceptance may occur electronically through the Platform.
Once accepted, these Auction Terms become legally binding upon the Buyer for that specific auction.
A Buyer who does not accept these Auction Terms may not participate in the auction.
1.8Electronic Agreement
The Buyer acknowledges that electronic acceptance through the Platform constitutes a legally binding agreement equivalent to a handwritten signature, to the fullest extent permitted by applicable law.
All acceptances are recorded by the Platform together with the applicable timestamp and audit information.
1.9Definitions
For the purposes of these Auction Terms:
- Organizer means the independent party conducting the auction.
- Buyer means a registered participant approved to place bids.
- Seller means the owner or authorized consignor of a Lot.
- Lot means each horse or asset offered for sale.
- Hammer Price means the final accepted bid.
- Buyer’s Premium means the additional percentage payable by the Buyer where applicable.
- Reserve Price means the confidential minimum sale price established by the Organizer where applicable.
- Auction Page means the webpage dedicated to the specific auction.
- Platform means AOS Equestrian.
- Platform Terms means the AOS Platform Terms.
- Veterinary Repository means the section containing veterinary documentation uploaded by the Organizer.
- Winning Bid means the highest valid bid accepted under these Auction Terms.
1.10Interpretation
Headings are included for convenience only and do not affect interpretation.
References to the singular include the plural and vice versa where the context requires.
References to any law include any amendment, replacement or successor legislation.
If any provision of these Auction Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
1.11Guiding Principles
These Auction Terms are founded upon the following principles:
- Transparency for all participants.
- Equal treatment of all bidders.
- Integrity of the bidding process.
- Clear allocation of responsibilities.
- Respect for applicable law.
- International usability.
- Digital traceability of every legally significant action.
- Fairness, good faith and professional conduct throughout the auction process.
Part II — The Auction
2.1The Auction
Each auction published through the Platform is independently organized by the Auction Organizer identified on the Auction Page.
The Organizer is solely responsible for the organization, administration and execution of the auction in accordance with these Auction Terms and applicable law.
AOS provides only the technological infrastructure through which the auction operates.
2.2Auction Format
The Organizer shall determine the format of the auction prior to publication.
Available auction formats may include, where supported by the Platform:
- Single Horse Auction
- Multiple Horse Auction
- Timed Online Auction
- Live & Online Auction
- Private Invitation Auction
- Multi-Day Auction Event
- Charity Auction
- Hybrid Auction
- Any additional auction format supported by the Platform.
The selected auction format shall be displayed on the Auction Page.
2.3Auction Schedule
Each auction shall specify:
- Opening Date and Time;
- Closing Date and Time;
- Time Zone;
- Preview Period (where applicable);
- Inspection Dates (where applicable);
- Closing Rules;
- Extension Rules (if enabled).
The Organizer may not materially modify the auction schedule after bidding has commenced unless required by law or due to exceptional circumstances.
2.4Lots
Each horse or asset offered for sale constitutes an individual Lot.
Each Lot shall have its own:
- Lot Number;
- Horse Profile;
- Starting Price;
- Reserve Price (if applicable);
- Bid History;
- Status;
- Winning Bid (if sold).
Each Lot is treated independently unless expressly stated otherwise.
2.5Horse Profiles
Every Lot shall include a digital Horse Profile containing the information made available by the Organizer.
The Horse Profile may include:
- photographs;
- videos;
- pedigree;
- breeder;
- studbook;
- date of birth;
- sex;
- colour;
- registration information;
- veterinary documentation;
- competition history;
- breeding history;
- external references;
- Veterinary Repository;
- additional information provided by the Organizer.
The Organizer remains solely responsible for the accuracy of the information contained within each Horse Profile.
2.6Starting Price
Each Lot shall have a Starting Price determined exclusively by the Organizer.
The Starting Price represents the minimum opening bid accepted by the bidding system.
The Starting Price does not constitute the sale price of the Lot.
2.7Reserve Price
Where enabled by the Organizer, a confidential Reserve Price may apply.
Unless expressly disclosed by the Organizer, the Reserve Price shall remain confidential throughout the auction.
The Platform shall automatically determine whether the Reserve Price has been met.
If the Reserve Price is not reached, the Organizer shall not be obliged to sell the Lot.
2.8Auction Status
Each Lot may display one of the following statuses, where applicable:
- Upcoming
- Open for Bidding
- Leading Bid
- Reserve Not Met
- Reserve Met
- Sold
- Unsold
- Withdrawn
- Cancelled
Additional operational statuses may be introduced by the Platform over time.
2.9Auction Modifications
Prior to the opening of bidding, the Organizer may modify:
- auction schedule;
- horse information;
- photographs;
- videos;
- starting prices;
- reserve prices;
- auction settings;
- legal information.
After bidding has commenced, modifications may be restricted in order to preserve fairness and transparency.
Where a material modification is permitted after bidding has begun, the Platform may notify registered bidders.
2.10Withdrawal of Lots
The Organizer may withdraw a Lot before bidding begins.
Once bidding has commenced, withdrawal may only occur where permitted by applicable law or under exceptional circumstances.
Where a Lot is withdrawn after bidding has begun, the Platform may display the withdrawal to all participants.
2.11Auction Cancellation
The Organizer may cancel an auction before bidding opens.
After bidding has commenced, cancellation should occur only where justified by exceptional circumstances, legal obligations or technical events that materially affect the integrity of the auction.
Where an auction is cancelled, affected participants shall be notified through the Platform where reasonably practicable.
2.12Auction Extensions
Where enabled by the Organizer, the Platform may automatically extend the closing time of a Lot if valid bids are received during the final moments before closing.
The duration of each extension and the conditions under which extensions occur shall be displayed on the Auction Page.
Each extension shall apply equally to all participants.
2.13Technical Interruptions
If a technical interruption materially affects the integrity of an auction, the Organizer may, using the tools provided by the Platform:
- pause the auction;
- extend the closing time;
- reopen bidding;
- reschedule the affected Lots;
- cancel the affected Lots.
AOS reserves the right to take reasonable technical measures necessary to preserve the integrity of the Platform.
2.14Auction Completion
An auction concludes when:
- the scheduled closing time has expired;
- all automatic extensions have ended;
- no further valid bids may be submitted;
- the Platform has determined the final bidding status of each Lot.
Completion of the auction does not by itself transfer ownership of any Lot.
Ownership transfers only in accordance with these Auction Terms and the applicable commercial conditions established by the Organizer.
2.15Organizer Discretion
Where these Auction Terms expressly grant discretion to the Organizer, such discretion shall be exercised:
- reasonably;
- consistently;
- in good faith;
- in accordance with applicable law;
- without unfair discrimination between participants.
The Organizer may not exercise discretion in a manner that undermines the integrity or transparency of the auction process.
2.16Integrity of the Auction
The Organizer and all participants acknowledge that the integrity of the auction process is fundamental.
No participant shall intentionally manipulate:
- bidding activity;
- auction timing;
- reserve price mechanisms;
- bidder identities;
- technical functionality;
- communications relating to the auction.
Any conduct that compromises the fairness or transparency of the auction may result in suspension, cancellation of bids or other measures permitted by these Auction Terms, the Platform Terms or applicable law.
Part III — Registration and Eligibility
3.1Buyer Registration
Participation in any auction requires prior registration through the Platform.
Each prospective Buyer must create an AOS account and complete any registration requirements established by:
- the Platform;
- the Organizer; and
- applicable law.
Registration alone does not guarantee approval to bid.
3.2Eligibility to Bid
To participate in an auction, a Buyer represents and warrants that:
- they have the legal capacity to enter into binding contracts;
- they are legally permitted to purchase the relevant Lot;
- they are not prohibited from participating by any applicable law or sanctions regime;
- all information provided during registration is accurate, complete and current.
Where the Buyer acts on behalf of a legal entity, the Buyer represents that they have authority to bind that entity.
3.3Account Verification
Before participating in an auction, Buyers may be required to complete one or more verification procedures.
Verification may include:
- email verification;
- telephone verification;
- identity verification;
- address verification;
- business verification;
- payment method verification;
- Know Your Customer (KYC) procedures;
- any additional verification reasonably required by the Organizer or the payment provider.
The required level of verification may vary depending on the auction.
3.4Organizer Approval
Certain auctions may require manual approval by the Organizer before a Buyer is permitted to bid.
The Organizer may establish objective eligibility criteria, including:
- verified identity;
- geographic restrictions;
- previous participation history;
- payment verification;
- invitation-only access;
- additional documentation.
The Organizer shall apply such criteria fairly and consistently.
3.5Registration Deadline
The Organizer may establish a registration deadline.
Buyers who attempt to register after the published deadline may be denied participation.
The Organizer is under no obligation to approve late registrations.
3.6Security Deposit
Where enabled by the Organizer, Buyers may be required to provide a refundable security deposit or payment authorization before being approved to bid.
The amount, conditions and release of any security deposit shall be displayed on the Auction Page.
Where only a payment authorization is required, no funds shall be captured unless expressly stated.
3.7Payment Method Verification
The Organizer or the Platform may require Buyers to verify a valid payment method before bidding.
Verification may include:
- card authorization;
- bank account verification;
- payment provider verification;
- other verification methods supported by the Platform.
Failure to maintain a valid payment method may result in suspension of bidding privileges.
3.8Identity Verification Status
Where identity verification is required, the Platform may display verification status internally for operational purposes.
Verification status may include:
- Pending;
- Verified;
- Additional Information Required;
- Rejected;
- Expired.
Only verified Buyers may participate where verification is mandatory.
3.9Multiple Accounts
Buyers may not create multiple accounts for the purpose of:
- manipulating bidding;
- circumventing restrictions;
- avoiding suspension;
- creating false competition;
- disguising identity.
AOS may suspend or permanently terminate duplicate accounts created for improper purposes.
3.10Invitation-Only Auctions
Where an auction is designated as invitation-only, participation is limited to Buyers expressly invited or approved by the Organizer.
Invitation links are personal and may not be transferred without the Organizer’s consent.
3.11Geographic Restrictions
The Organizer may restrict participation from specific countries or jurisdictions where:
- legal restrictions apply;
- export regulations prevent transactions;
- sanctions laws apply;
- logistical limitations exist.
Such restrictions shall be displayed where reasonably practicable.
3.12Suspension of Registration
The Organizer or AOS may suspend a Buyer’s registration where there is reasonable evidence of:
- fraudulent activity;
- false information;
- identity concerns;
- payment concerns;
- abuse of the Platform;
- breach of these Auction Terms or the Platform Terms.
Where reasonably practicable, the affected Buyer shall be informed of the suspension.
3.13Refusal of Participation
The Organizer reserves the right to refuse participation before bidding begins where:
- eligibility requirements have not been satisfied;
- verification remains incomplete;
- payment verification has failed;
- participation would violate applicable law;
- there are reasonable concerns regarding fraud or abuse.
Such refusal shall not constitute discrimination where based upon legitimate operational, legal or security reasons.
3.14Ongoing Eligibility
Approval to participate in an auction does not guarantee continued eligibility.
The Organizer or AOS may revoke bidding privileges at any time before or during the auction where:
- verification expires;
- fraudulent conduct is detected;
- payment authorization fails;
- mandatory legal requirements cease to be satisfied;
- continued participation would compromise the integrity of the auction.
3.15Buyer Responsibilities
By registering for an auction, each Buyer agrees to:
- comply with these Auction Terms;
- comply with the Platform Terms;
- bid only with genuine intent to purchase;
- maintain accurate registration information;
- complete payment if successful;
- comply with all applicable laws.
3.16Electronic Records
All registration activities performed through the Platform, including approvals, verification status, identity checks, payment authorizations and acceptance of these Auction Terms, shall be electronically recorded by the Platform.
Such records may be used for operational, audit, compliance and dispute resolution purposes in accordance with applicable law.
Part IV — Bidding Rules
4.1General Principles
All bids submitted through the Platform are legally binding offers to purchase the relevant Lot in accordance with these Auction Terms.
By placing a bid, the Buyer confirms that they have reviewed the Horse Profile, the Auction Terms and all information made available by the Organizer.
Bids may not be submitted for testing purposes or without a genuine intention to purchase.
4.2Placing a Bid
Bids may only be submitted through the bidding functionality provided by the Platform.
Each valid bid must:
- comply with the applicable bid increment;
- exceed the current highest valid bid where required;
- be submitted before the Lot closes;
- comply with any eligibility requirements established by the Organizer.
The Platform shall display the Buyer’s bidding status after each valid bid.
4.3Bid Increments
The Organizer may establish minimum bid increments.
The applicable increment may vary depending on the current bid value.
The Platform shall automatically enforce the applicable increment and reject bids that do not satisfy the required minimum.
4.4Automatic Bidding
Where available, Buyers may activate Automatic Bidding.
Automatic Bidding allows a Buyer to specify the maximum amount they are willing to pay for a Lot.
The Platform will automatically place bids on behalf of the Buyer only to the extent necessary to maintain the leading position, and never above the Buyer’s maximum authorized amount.
The maximum amount selected by the Buyer remains confidential and is never disclosed to other participants.
4.5Automatic Bidding Priority
If another Buyer submits a bid that is lower than or equal to an existing Automatic Bid limit, the Platform will immediately generate the minimum higher bid required to retain the leading position.
Where two Buyers establish identical maximum Automatic Bids, priority shall be given to the maximum bid that was submitted first.
4.6Bid Status Messages
Following each bid, the Platform may display informative status messages, including but not limited to:
- You are the highest bidder.
- You have been outbid.
- Your Automatic Bid is active.
- Reserve Price has been met.
- Reserve Price has not yet been met.
- Bidding has closed.
- You are the winning bidder.
These messages are informational only and do not modify the legal effect of the bids submitted.
4.7Reserve Price
Where a confidential Reserve Price has been established:
- bids below the Reserve Price remain valid;
- the Organizer is not obliged to sell the Lot unless the Reserve Price is met or expressly waived.
The Platform may indicate whether the Reserve Price has been met without disclosing its actual value.
4.8Leading Bid
The highest valid bid displayed by the Platform at any given time shall be considered the Leading Bid.
Being the Leading Bidder before the auction closes does not guarantee purchase of the Lot.
Only the final valid Leading Bid at the close of the auction, subject to any applicable Reserve Price, may become the Winning Bid.
4.9Bid Retraction
Bids are irrevocable once submitted.
A Buyer may not withdraw, cancel or modify a valid bid after it has been accepted by the Platform, except where:
- required by applicable law;
- expressly permitted by the Organizer;
- a verified technical malfunction materially affected the bidding process.
4.10Invalid Bids
The Platform or the Organizer may reject bids that:
- originate from suspended accounts;
- fail eligibility requirements;
- violate bid increment rules;
- are technically incomplete;
- result from fraud or manipulation;
- violate these Auction Terms.
Rejected bids shall have no legal effect.
4.11Technical Errors
Where a technical malfunction materially affects the integrity of the bidding process, the Organizer may:
- pause bidding;
- extend the auction;
- reopen bidding;
- invalidate affected bids;
- cancel the affected Lot.
Such measures shall be taken only where reasonably necessary to preserve fairness and transparency.
4.12Auction Extensions
Where automatic extensions are enabled, any valid bid received during the final extension window shall extend the closing time of the affected Lot.
The duration of each extension shall be displayed on the Auction Page.
There is no limit to the number of extensions unless expressly stated by the Organizer.
4.13Simultaneous Closing
Where multiple Lots close simultaneously, each Lot shall be treated independently.
Bidding activity affecting one Lot shall not affect the closing time or bidding process of any other Lot unless expressly configured by the Organizer.
4.14Winning Bid
At the close of bidding, the Platform shall determine the Winning Bid based upon:
- the highest valid bid;
- compliance with these Auction Terms;
- satisfaction of any applicable Reserve Price.
Where the Reserve Price has not been met, the Lot may be marked as Unsold unless the Organizer elects to proceed with the sale.
4.15Notification of Results
Following completion of the auction, the Platform may notify:
- the Winning Buyer;
- unsuccessful Buyers;
- the Organizer.
Such notifications are provided for convenience and do not replace the official auction record maintained by the Platform.
4.16Bid Audit Trail
Every bid submitted through the Platform shall generate an immutable electronic record, which may include:
- bidder identifier;
- Lot identifier;
- bid amount;
- timestamp (UTC);
- bid type (manual or automatic);
- status of the bid;
- system-generated events associated with the bid.
These records constitute the official bidding history of the auction.
4.17Fraudulent Bidding
The following conduct is strictly prohibited:
- fictitious bidding;
- collusive bidding;
- bid manipulation;
- artificial price inflation;
- use of duplicate accounts;
- coordinated bidding intended to distort the auction;
- automated bidding outside Platform functionality.
The Organizer and AOS reserve the right to invalidate affected bids, suspend participants and take any other reasonable measures necessary to preserve the integrity of the auction.
4.18Finality of the Auction
Once the auction has closed and the Platform has confirmed the Winning Bid, the bidding process for that Lot is final.
No additional bids shall be accepted unless:
- the auction is lawfully reopened;
- a material technical failure is confirmed;
- applicable law requires otherwise.
The official electronic records maintained by the Platform shall constitute the authoritative record of the bidding process.
Part V — Horses, Veterinary Information and Buyer Due Diligence
5.1Horse Information
Each Lot shall include a Horse Profile prepared by the Organizer.
The Horse Profile is intended to provide Buyers with relevant information to assist them in evaluating the Lot prior to bidding.
The Organizer remains solely responsible for the accuracy and completeness of all information published.
5.2Horse Profile
The Horse Profile may include, where applicable:
- registered name;
- date of birth;
- sex;
- colour;
- breeder;
- studbook;
- registration numbers;
- pedigree;
- ownership information;
- breeding information;
- photographs;
- videos;
- competition history;
- breeding records;
- veterinary information;
- external references;
- additional descriptions.
The information displayed may vary depending on the nature of the Lot.
5.3Photographs and Videos
Photographs and videos are provided solely for informational and promotional purposes.
Unless expressly stated otherwise by the Organizer, photographs and videos do not constitute contractual representations or warranties regarding the condition, suitability or future performance of the Lot.
Buyers should not rely exclusively on visual material when making purchasing decisions.
5.4Veterinary Repository
The Platform may provide a dedicated Veterinary Repository containing veterinary documentation made available by the Organizer.
The Veterinary Repository may include:
- Radiographs;
- Ultrasounds;
- Endoscopy;
- Veterinary Reports;
- Certificates;
- Laboratory Analysis;
- Additional veterinary documentation.
The Organizer determines which documentation is made available.
5.5Veterinary Documentation
All veterinary documentation is supplied by the Organizer or by third-party veterinary professionals engaged by the Organizer.
AOS does not:
- prepare veterinary reports;
- verify veterinary findings;
- interpret medical information;
- certify the health or soundness of any horse.
The availability of veterinary documentation does not constitute a warranty regarding the condition of the Lot.
5.6External References
The Horse Profile may include links or references to external resources, including but not limited to:
- studbooks;
- pedigree databases;
- competition records;
- breeding registries;
- HorseTelex;
- FEI records;
- national federation databases;
- other third-party information sources.
Such information remains the responsibility of the originating source.
AOS does not guarantee the availability, accuracy or completeness of external information.
5.7Organizer Representations
The Organizer represents that, to the best of its knowledge:
- the information published is accurate;
- no material information has been intentionally omitted;
- uploaded media corresponds to the Lot offered;
- veterinary documentation has not been intentionally altered or manipulated.
These representations are made exclusively by the Organizer.
5.8Buyer Inspection
Buyers are encouraged to inspect the Lot personally or through qualified representatives before bidding.
Inspection may include:
- physical examination;
- veterinary examination;
- review of veterinary documentation;
- review of pedigree information;
- review of competition history;
- consultation with professional advisers.
The availability and arrangements for inspection shall be determined by the Organizer.
5.9Buyer Due Diligence
Each Buyer is solely responsible for conducting its own due diligence before placing a bid.
Such due diligence may include, without limitation:
- reviewing all available information;
- consulting independent veterinarians;
- verifying pedigree information;
- confirming registration details;
- assessing competition records;
- evaluating breeding suitability;
- reviewing legal ownership where appropriate.
Failure to conduct adequate due diligence shall not relieve the Buyer of obligations arising from a successful bid.
5.10No Independent Verification by AOS
Unless expressly stated otherwise, AOS does not independently verify:
- horse identity;
- ownership;
- pedigree;
- age;
- veterinary condition;
- breeding value;
- sporting performance;
- competition history;
- registration status;
- uploaded documentation.
The Platform provides access to information supplied by Organizers and third parties.
5.11Veterinary Disclosure
The Organizer is responsible for disclosing material veterinary information where required by applicable law.
The extent of disclosure may vary according to the jurisdiction governing the auction.
AOS does not determine what information must legally be disclosed.
5.12Sale “As Presented”
Unless otherwise required by applicable law or expressly stated by the Organizer, each Lot is offered in the condition presented through the Horse Profile and any additional information made available before the close of the auction.
The Buyer acknowledges that purchasing decisions are made based upon the Buyer’s own assessment and due diligence.
5.13No Future Performance Guarantee
Neither the Organizer nor AOS guarantees the future:
- health;
- soundness;
- fertility;
- breeding success;
- competition results;
- temperament;
- training progression;
- commercial value;
- suitability for any particular purpose
of any Lot after completion of the sale, except where such guarantees are expressly provided in writing by the Organizer.
5.14Updates Before Auction Close
Where material information becomes available before the auction closes, the Organizer shall update the Horse Profile as soon as reasonably practicable.
Where appropriate, the Platform may notify registered bidders of significant updates.
5.15Official Horse Profile
The Horse Profile displayed on the Auction Page at the moment bidding closes shall constitute the official information published for that Lot.
Any subsequent modification shall not alter the information upon which the completed auction was conducted unless required by law or agreed by the parties.
Part VI — Purchase Price, Payment and Financial Obligations
6.1Purchase Price
The purchase price payable by the Winning Buyer shall consist of:
- the Hammer Price;
- any applicable Buyer’s Premium;
- applicable taxes;
- and any additional charges expressly disclosed before bidding.
The complete amount payable shall be displayed or calculated by the Platform before payment is completed.
6.2Hammer Price
The Hammer Price is the highest valid bid accepted at the close of the auction, subject to any applicable Reserve Price.
The Hammer Price does not include:
- Buyer’s Premium;
- taxes;
- transport costs;
- insurance;
- veterinary expenses;
- export costs;
- or any other charges unless expressly stated.
6.3Buyer’s Premium
Where applicable, the Organizer may charge a Buyer’s Premium.
The applicable percentage shall be clearly displayed on the Auction Page before bidding begins.
The Buyer’s Premium forms part of the total purchase price payable by the Buyer.
6.4Taxes
Any applicable taxes, including but not limited to:
- VAT;
- Sales Tax;
- GST;
- withholding taxes;
- customs duties;
- import taxes;
shall be applied in accordance with applicable law and the commercial conditions established by the Organizer.
The Buyer remains responsible for any taxes applicable to their purchase unless expressly stated otherwise.
6.5Currency
All bids and payments shall be made in the currency displayed on the Auction Page.
Where currency conversion is required by the Buyer’s financial institution or payment provider, any resulting exchange rate differences or banking charges remain the responsibility of the Buyer.
6.6Payment Obligation
Submission of a Winning Bid creates a legally binding obligation to complete payment in accordance with these Auction Terms.
The Buyer may not refuse payment solely because they subsequently decide not to proceed with the purchase.
6.7Payment Deadline
Unless otherwise specified by the Organizer, full payment must be received within the payment period displayed on the Auction Page.
The payment deadline shall be calculated from the moment the auction officially closes.
Failure to meet the payment deadline may constitute Buyer default.
6.8Accepted Payment Methods
The Organizer shall specify the accepted payment methods before the auction begins.
Accepted payment methods may include:
- bank transfer;
- payment through the Platform;
- Stripe;
- Stripe Connect;
- other payment methods supported by the Platform.
The Organizer may restrict payment methods for specific auctions.
6.9Payment Processing
Where payments are processed through the Platform, they shall be handled by licensed third-party payment providers.
AOS provides the payment infrastructure but does not itself provide regulated payment services.
Processing times may vary depending on:
- the payment provider;
- banking systems;
- verification requirements;
- applicable regulations.
6.10Payment Confirmation
Payment shall be deemed completed only when the Organizer or the integrated payment provider has confirmed successful receipt of the funds.
Submission of a payment instruction alone does not constitute completed payment.
6.11Failure to Pay
Where the Winning Buyer fails to complete payment within the applicable deadline, the Organizer may, subject to applicable law:
- cancel the sale;
- retain any permitted deposit;
- offer the Lot to another Buyer;
- reopen the auction;
- relist the Lot;
- pursue any legal remedies available.
The Organizer shall exercise such rights reasonably and in good faith.
6.12Buyer Default
A Buyer shall be deemed in default where they:
- fail to complete payment;
- intentionally provide invalid payment information;
- refuse to complete the purchase without lawful justification;
- materially breach these Auction Terms.
Default may result in suspension or permanent exclusion from future auctions.
6.13Late Payment
The Organizer may establish additional consequences for late payment, including:
- administrative charges;
- contractual interest where permitted by law;
- delayed transfer of ownership;
- suspension of future bidding privileges.
Any such conditions shall be disclosed before bidding begins.
6.14Platform Fees
Platform fees charged by AOS to the Organizer are governed exclusively by the AOS Platform Terms and any applicable commercial agreement between AOS and the Organizer.
Such fees do not alter the Buyer’s payment obligations under these Auction Terms.
6.15Invoices
Where supported by the Platform, invoices or payment confirmations may be generated automatically.
Users remain responsible for verifying that invoice information is accurate before relying upon it for accounting or tax purposes.
6.16Payment Disputes
Any dispute relating to payment between the Organizer and the Buyer shall be resolved directly between those parties.
Where payments have been processed through an integrated payment provider, the provider’s dispute procedures may also apply.
AOS is not responsible for resolving contractual payment disputes between Buyers and Organizers unless required by applicable law.
6.17Chargebacks
Where a Buyer initiates a chargeback or payment reversal after a completed purchase, the Organizer may exercise any contractual or legal remedies available.
AOS may cooperate with the payment provider by supplying relevant transaction records where legally permitted.
6.18Refunds
Refunds shall only be made where:
- required by applicable law;
- required under these Auction Terms;
- expressly agreed between the Organizer and the Buyer;
- ordered by a court or competent authority.
Unless otherwise required by law, successful bids are final and payments are non-refundable.
6.19Fraud Prevention
The Platform may suspend or delay payment processing where fraud, money laundering, sanctions concerns or other unlawful activity is reasonably suspected.
Such measures are intended solely to protect the integrity of the Platform and comply with applicable legal obligations.
6.20Financial Records
The Platform may retain payment records, invoices, receipts, transaction histories and related financial information for operational, legal, accounting and audit purposes.
Such records may be used in connection with dispute resolution, fraud prevention or compliance with applicable law.
6.21Completion of Financial Obligations
The Buyer’s financial obligations under these Auction Terms shall be deemed satisfied only once:
- the full purchase price has been received;
- all applicable fees and taxes have been paid;
- and the Organizer has confirmed successful completion of the payment process.
Only upon completion of these obligations may the transaction proceed to the transfer of ownership in accordance with these Auction Terms.
Part VII — Transfer of Ownership, Collection and Delivery
7.1Transfer of Ownership
Unless otherwise required by applicable law or expressly agreed in writing between the Organizer and the Buyer, ownership of the Lot shall transfer only after:
- full payment has been received;
- all applicable taxes and fees have been paid;
- all contractual obligations relating to the sale have been fulfilled.
The successful conclusion of the auction alone does not transfer ownership.
7.2Transfer of Risk
Unless otherwise specified by the Organizer or required by applicable law, the risk of loss, damage or injury relating to the Lot shall pass to the Buyer upon the transfer of ownership.
The Organizer remains responsible for the Lot until that moment.
7.3Collection of the Lot
The Buyer shall collect the Lot within the collection period specified on the Auction Page or otherwise agreed with the Organizer.
Collection arrangements shall be coordinated directly between the Buyer and the Organizer.
Failure to collect the Lot within the agreed period may result in reasonable storage, care or handling charges imposed by the Organizer.
7.4Delivery
Where the Organizer offers delivery services, the applicable conditions shall be specified on the Auction Page or agreed separately with the Buyer.
Unless expressly stated otherwise:
- delivery is not included in the purchase price;
- delivery arrangements are the responsibility of the Buyer and the Organizer;
- AOS does not provide transport services.
7.5Transport
Transport of the Lot shall be arranged:
- by the Buyer;
- by the Organizer;
- or through an independent transport provider.
Any transport provider acts independently and is not an agent, employee or representative of AOS.
AOS assumes no responsibility for transportation services.
7.6Export and Import Requirements
Where the Lot is transported across international borders, the Buyer is responsible for ensuring compliance with all applicable:
- import regulations;
- export regulations;
- customs requirements;
- veterinary requirements;
- quarantine requirements;
- licensing requirements;
- tax obligations.
The Organizer shall cooperate reasonably by providing documentation under its control where required for the lawful transfer of the Lot.
7.7Veterinary Certificates
Any veterinary certificates required for transport or export shall be obtained in accordance with applicable law.
Responsibility for arranging such certificates shall rest with the party specified by the Organizer’s commercial conditions or otherwise agreed between the parties.
7.8Insurance
The Buyer is responsible for arranging any insurance desired in relation to the Lot following the transfer of ownership.
The Organizer may maintain insurance prior to transfer of ownership but is under no obligation to continue such coverage thereafter.
AOS does not provide insurance services.
7.9Failure to Collect
Where the Buyer fails to collect the Lot within the agreed period, the Organizer may, where permitted by applicable law:
- charge reasonable boarding or storage fees;
- recover reasonable care expenses;
- require collection within an additional reasonable period;
- exercise any contractual or legal remedies available.
7.10Delay in Delivery
Neither the Organizer nor AOS shall be liable for delays resulting from circumstances beyond their reasonable control, including:
- transport delays;
- veterinary requirements;
- export procedures;
- customs inspections;
- governmental restrictions;
- force majeure events.
The parties shall cooperate in good faith to complete delivery as soon as reasonably practicable.
7.11Export Restrictions
The Buyer acknowledges that certain Lots may be subject to export restrictions imposed by:
- national authorities;
- veterinary authorities;
- breed registries;
- sporting federations;
- sanctions regulations;
- international trade laws.
It is the Buyer’s responsibility to verify that the Lot may lawfully be imported into the destination country.
7.12Failure of Export or Import Approval
If governmental approval, veterinary certification or customs authorization is refused, delayed or withdrawn, the consequences shall be governed by:
- the applicable law;
- the Organizer’s commercial conditions;
- any written agreement between the Buyer and the Organizer.
Unless otherwise required by law, AOS bears no responsibility for such governmental decisions.
7.13Boarding and Care
Where a Lot remains with the Organizer after the transfer of ownership, the Organizer may provide temporary boarding or care under separate commercial arrangements.
Unless expressly agreed otherwise:
- such arrangements are independent of the auction transaction;
- associated costs shall be borne by the Buyer.
7.14Documentation
Upon completion of the transaction, the Organizer shall provide any documentation that is legally required or expressly included within the sale, which may include:
- registration documents;
- ownership transfer documents;
- passports;
- veterinary certificates;
- breeding certificates;
- export documentation;
- any additional documentation specified on the Auction Page.
The Organizer remains responsible for the authenticity of such documentation.
7.15Completion of the Transaction
The transaction shall be deemed completed when:
- the Buyer has fulfilled all payment obligations;
- ownership has transferred in accordance with these Auction Terms;
- the Organizer has made the Lot available for collection or delivery in accordance with the agreed conditions.
Any continuing obligations, including warranties expressly provided by the Organizer, dispute rights or legal obligations that survive completion, shall remain unaffected.
Part VIII — Organizer Responsibilities
8.1General Responsibility
The Organizer is solely responsible for the lawful organization and administration of the auction.
The Organizer shall conduct the auction in good faith, in accordance with these Auction Terms, the AOS Platform Terms and all applicable laws and regulations.
8.2Authority to Organize the Auction
The Organizer represents and warrants that it has the legal authority to organize the auction and to offer each Lot for sale.
Where acting on behalf of a Seller or third party, the Organizer confirms that it has obtained all necessary authorizations.
8.3Authority to Sell
The Organizer represents that each Lot has been lawfully consigned or offered for sale.
The Organizer shall ensure that no Lot infringes:
- ownership rights;
- security interests;
- contractual restrictions;
- court orders;
- applicable laws.
8.4Accuracy of Information
The Organizer shall use reasonable care to ensure that all information published in connection with the auction is accurate, complete and not misleading.
This includes, where applicable:
- horse identity;
- pedigree;
- breeder;
- studbook;
- registration details;
- photographs;
- videos;
- veterinary documentation;
- competition records;
- breeding information;
- commercial terms.
Material inaccuracies shall be corrected as soon as reasonably practicable.
8.5Veterinary Disclosure
The Organizer is responsible for disclosing veterinary information to the extent required by applicable law and by these Auction Terms.
Where veterinary documentation is made available through the Veterinary Repository, the Organizer warrants that such documentation has been uploaded in good faith and has not been intentionally altered or falsified.
8.6Compliance with Applicable Laws
The Organizer shall comply with all laws and regulations applicable to the organization of the auction, including, where relevant:
- commercial laws;
- consumer protection laws;
- tax laws;
- animal welfare legislation;
- veterinary regulations;
- export and import regulations;
- sanctions regulations;
- data protection laws.
Compliance with local laws remains the sole responsibility of the Organizer.
8.7Animal Welfare
The Organizer represents that each Lot has been managed in accordance with applicable animal welfare legislation.
The Organizer shall not knowingly offer for sale any horse whose sale would violate applicable welfare requirements.
8.8Intellectual Property
The Organizer warrants that all content uploaded to the Platform, including photographs, videos, logos, documents and promotional material:
- is owned by the Organizer or lawfully licensed;
- may be published through the Platform;
- does not infringe third-party intellectual property rights.
The Organizer shall indemnify AOS against claims arising from infringement of such rights.
8.9Fair Conduct
The Organizer shall conduct the auction fairly and transparently.
The Organizer shall not:
- manipulate bids;
- create fictitious bidders;
- artificially inflate prices;
- conceal material information;
- interfere with the proper operation of the bidding process.
8.10Communications with Buyers
The Organizer shall respond to reasonable enquiries from registered Buyers in a timely and professional manner.
Information provided to Buyers shall be consistent with the information published on the Auction Page.
8.11Payment Administration
The Organizer is responsible for:
- issuing payment instructions where applicable;
- confirming receipt of payment;
- coordinating transfer of ownership;
- issuing any documents required under applicable law.
Where payments are processed through integrated payment services, the Organizer shall comply with the requirements of the relevant payment provider.
8.12Collection and Delivery
Following completion of the sale, the Organizer shall cooperate reasonably with the Buyer to facilitate:
- collection;
- delivery;
- export documentation;
- transfer documentation;
- any agreed post-sale arrangements.
8.13Confidentiality
The Organizer shall treat confidential Buyer information obtained through the Platform in accordance with applicable data protection laws.
Buyer information may only be used for purposes directly related to the auction and subsequent transaction.
8.14Record Keeping
The Organizer shall retain such records as may be required by applicable law relating to:
- the auction;
- participating Buyers;
- Lots offered;
- completed transactions;
- invoices;
- payment confirmations.
Retention obligations remain the responsibility of the Organizer.
8.15Cooperation with Investigations
Where reasonably requested by AOS or competent authorities, the Organizer shall cooperate with investigations relating to:
- fraud;
- unlawful activity;
- sanctions compliance;
- payment disputes;
- identity verification;
- misuse of the Platform.
Such cooperation shall be subject to applicable law.
8.16Indemnification
The Organizer agrees to indemnify and hold harmless Equestrian Partners, Inc. and AOS against any claim, loss, liability, damage or expense arising from:
- inaccurate information published by the Organizer;
- breach of these Auction Terms;
- breach of applicable law;
- infringement of third-party rights;
- disputes arising from the Organizer’s conduct of the auction.
8.17Continuing Obligations
The Organizer’s obligations relating to:
- legal compliance;
- payment administration;
- transfer of ownership;
- confidentiality;
- intellectual property;
- dispute resolution;
- record keeping;
shall survive completion or cancellation of the auction where required by applicable law or by these Auction Terms.
Part IX — Buyer Responsibilities
9.1General Responsibility
Each Buyer participates in the auction voluntarily and is solely responsible for complying with these Auction Terms, the AOS Platform Terms and all applicable laws.
Participation in the auction constitutes acceptance of all obligations arising from a successful bid.
9.2Due Diligence
Before placing any bid, the Buyer is responsible for carrying out such investigations as the Buyer considers appropriate.
This may include, without limitation:
- reviewing the Horse Profile;
- reviewing the Veterinary Repository;
- reviewing photographs and videos;
- verifying pedigree information;
- consulting veterinarians;
- consulting legal advisers;
- consulting transport providers;
- inspecting the Lot where possible.
The Buyer acknowledges that they have had sufficient opportunity to conduct their own independent assessment prior to bidding.
9.3Binding Nature of Bids
Each bid submitted by the Buyer constitutes a legally binding offer.
The Buyer shall not submit bids:
- without genuine intent to purchase;
- for speculative purposes;
- to manipulate prices;
- to interfere with the auction process.
Winning Buyers are legally obligated to complete the purchase in accordance with these Auction Terms.
9.4Payment Obligations
The Buyer shall:
- pay the full Purchase Price;
- pay all applicable taxes and fees;
- comply with the payment deadline;
- use lawful payment methods;
- provide accurate payment information.
Failure to fulfil these obligations may constitute Buyer default.
9.5Collection of the Lot
Following completion of payment, the Buyer shall collect the Lot within the period specified by the Organizer.
The Buyer is responsible for coordinating collection or delivery directly with the Organizer unless otherwise agreed.
9.6Transport
Unless expressly included by the Organizer, the Buyer is responsible for arranging:
- transport;
- insurance;
- veterinary certificates required after the sale;
- export logistics;
- import procedures.
The Buyer assumes all costs associated with these arrangements unless otherwise agreed.
9.7Import and Export Compliance
Where the Lot is transported internationally, the Buyer is responsible for complying with all applicable:
- customs requirements;
- veterinary regulations;
- import regulations;
- export regulations;
- quarantine requirements;
- sanctions laws;
- tax obligations.
The Buyer shall obtain any approvals or permits required for lawful importation.
9.8Risk After Transfer
Following the transfer of ownership in accordance with these Auction Terms, the Buyer assumes responsibility for:
- care of the Lot;
- welfare of the Lot;
- insurance;
- transport;
- compliance with applicable legal requirements.
9.9Accuracy of Buyer Information
The Buyer shall ensure that all information provided to the Organizer and the Platform remains accurate and up to date.
This includes:
- identity information;
- billing information;
- payment information;
- contact details;
- delivery information.
9.10Lawful Use of the Platform
The Buyer shall not:
- manipulate bidding;
- use automated bidding tools outside those provided by the Platform;
- create duplicate accounts;
- impersonate another person;
- interfere with Platform functionality;
- engage in fraudulent or unlawful conduct.
9.11Confidential Information
The Buyer shall treat any confidential information obtained through the auction process responsibly and shall not disclose confidential information except where required by law or with the consent of the relevant party.
9.12Compliance with Animal Welfare
Following transfer of ownership, the Buyer assumes responsibility for ensuring that the Lot is managed in accordance with all applicable animal welfare legislation.
9.13Taxes
The Buyer remains solely responsible for:
- import duties;
- VAT or equivalent taxes where applicable;
- customs charges;
- registration fees;
- any taxes arising from ownership or importation of the Lot.
Nothing in these Auction Terms constitutes tax advice.
9.14Cooperation
The Buyer agrees to cooperate reasonably with the Organizer in completing:
- payment;
- ownership transfer;
- collection;
- export procedures;
- regulatory requirements.
Failure to cooperate may delay completion of the transaction.
9.15Buyer Representations
By participating in the auction, the Buyer represents and warrants that:
- they have the legal capacity to purchase the Lot;
- they possess sufficient financial resources to complete the purchase;
- they will comply with these Auction Terms;
- they are acting in good faith;
- they are not participating for any unlawful purpose.
9.16Breach by the Buyer
Where the Buyer materially breaches these Auction Terms, the Organizer may exercise any contractual or legal remedies available, including those relating to cancellation, damages, recovery of costs or exclusion from future participation.
Nothing in this section limits any rights available under applicable law.
9.17Continuing Obligations
The Buyer’s obligations relating to:
- payment;
- confidentiality;
- legal compliance;
- taxes;
- dispute resolution;
- indemnification where applicable;
shall survive completion of the auction and transfer of ownership to the extent required by these Auction Terms or by applicable law.
Part X — Disputes, Governing Law and Final Provisions
10.1Good Faith Resolution
The Organizer and the Buyer agree to make reasonable efforts to resolve any dispute arising from the auction through direct communication and good-faith negotiations before initiating formal legal proceedings.
Nothing in this section prevents either party from seeking urgent legal remedies where necessary.
10.2Disputes Between Organizer and Buyer
Any dispute relating to:
- the condition of a Lot;
- payment;
- ownership;
- delivery;
- transport;
- contractual obligations;
- veterinary matters;
- representations made by the Organizer;
- any other matter arising from the auction,
shall be resolved directly between the Organizer and the Buyer.
Unless required by applicable law, AOS is not a party to such disputes.
10.3Role of AOS
AOS provides the technological infrastructure through which the auction is conducted.
AOS is not:
- the seller;
- the buyer;
- the consignor;
- the owner of the Lots;
- the auctioneer;
- the legal representative of any participant.
Accordingly, AOS shall not be responsible for resolving disputes arising from the contractual relationship between the Organizer and the Buyer.
10.4Platform Records
The electronic records maintained by the Platform, including but not limited to:
- registration records;
- identity verification records;
- bid history;
- timestamps;
- payment confirmations;
- system logs;
- audit trails;
- communications generated by the Platform,
may be relied upon as evidence of activities carried out through the Platform, to the extent permitted by applicable law.
10.5Governing Law
Each auction shall be governed by the law selected by the Organizer during the auction setup process.
The applicable governing law shall be displayed on the Auction Page and incorporated into these Auction Terms.
Where no governing law has been expressly selected, the law of the jurisdiction in which the Organizer is legally established shall apply, subject to any mandatory provisions of applicable law.
10.6Jurisdiction
Unless otherwise required by mandatory law, any dispute arising from the auction shall be submitted to the courts selected by the Organizer during the auction setup process.
The applicable jurisdiction shall be displayed on the Auction Page and incorporated into these Auction Terms.
Nothing in this section limits any mandatory jurisdiction granted by applicable law.
10.7Mandatory Consumer Rights
Nothing in these Auction Terms limits or excludes any rights that cannot legally be waived under applicable consumer protection legislation or other mandatory laws.
Where mandatory legal provisions conflict with these Auction Terms, the mandatory provisions shall prevail to the extent of the conflict.
10.8Force Majeure
Neither the Organizer nor the Buyer shall be liable for delays or failures to perform their obligations where such delay or failure results from circumstances beyond their reasonable control, including:
- natural disasters;
- war;
- civil unrest;
- governmental actions;
- pandemics;
- transport disruptions;
- telecommunications failures;
- cyberattacks;
- power outages;
- other force majeure events.
Performance shall resume as soon as reasonably practicable after the relevant event has ended.
10.9Amendments
The Organizer may amend these Auction Terms only before the auction opens for bidding.
Once bidding has commenced, these Auction Terms may not be materially modified except where:
- required by applicable law;
- necessary to correct an obvious error;
- necessary to preserve the integrity of the auction.
Where material amendments are made before bidding begins, the updated version shall replace all previous versions.
10.10Severability
If any provision of these Auction Terms is held to be invalid, unlawful or unenforceable by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permitted by law.
The remaining provisions shall continue in full force and effect.
10.11Entire Agreement
These Auction Terms, together with:
- the AOS Platform Terms;
- the information published on the Auction Page;
- the Horse Profiles;
- any documents expressly incorporated by reference,
constitute the entire agreement governing the relevant auction.
They supersede any prior oral or written understandings relating to that auction.
10.12Order of Precedence
In the event of any inconsistency, the following order of precedence shall apply:
- Applicable mandatory law.
- These Auction Terms.
- The Auction Page and its configured commercial terms.
- The AOS Platform Terms.
- The AOS Privacy Policy.
- The AOS Cookie Policy.
10.13Electronic Acceptance
Participation in the auction through the Platform constitutes electronic acceptance of these Auction Terms.
The Buyer acknowledges that electronic acceptance has the same legal effect as a handwritten signature, to the fullest extent permitted by applicable law.
10.14Language
These Auction Terms may be made available in multiple languages.
In the event of any inconsistency between translations, the English version shall prevail unless mandatory law requires otherwise.
10.15Effective Date
These Auction Terms become effective for each participant immediately upon acceptance during the registration process for the relevant auction.
They remain in force until all obligations arising from the auction have been fulfilled or otherwise extinguished under applicable law.
10.16Survival
The provisions relating to:
- payment obligations;
- transfer of ownership;
- confidentiality;
- intellectual property;
- limitation of liability;
- dispute resolution;
- governing law;
- jurisdiction;
- record keeping;
- indemnification;
shall survive completion, cancellation or termination of the auction to the extent necessary to give them full legal effect.
Part XI — Miscellaneous Provisions
11.1Notices
Any notice relating to the auction may be delivered through:
- the Platform;
- email;
- the Auction Page;
- the Buyer’s registered account;
- any other communication method expressly supported by the Platform.
Electronic notices shall be deemed received when transmitted, unless otherwise required by applicable law.
11.2No Waiver
Failure by the Organizer or AOS to enforce any provision of these Auction Terms shall not constitute a waiver of that provision or of any other rights.
Any waiver shall be effective only if made expressly in writing.
11.3Assignment
The Buyer may not assign or transfer any rights or obligations arising under these Auction Terms without the prior written consent of the Organizer.
The Organizer may assign its rights and obligations where permitted by applicable law, provided that such assignment does not materially prejudice the rights of the Buyer.
11.4No Partnership or Agency
Nothing contained in these Auction Terms creates any partnership, joint venture, agency, employment or fiduciary relationship between:
- the Organizer;
- the Buyer; or
- AOS.
Each party acts solely in its own name and on its own behalf.
11.5Independent Obligations
The obligations of the Organizer and the Buyer are independent.
Failure by one party to perform its obligations shall not relieve the other party from complying with its own obligations, except where required by applicable law.
11.6Compliance with Applicable Law
If any provision of these Auction Terms conflicts with mandatory applicable law, that provision shall be interpreted or modified only to the extent necessary to comply with such law.
The remaining provisions shall continue in full force and effect.
11.7Electronic Records
The parties acknowledge that electronic records generated by the Platform may include:
- account activity;
- bid history;
- payment records;
- audit logs;
- verification status;
- timestamps;
- communications;
- acceptance of legal documents.
Such records may be relied upon as evidence to the extent permitted by applicable law.
11.8Confidentiality
Where confidential information is exchanged in connection with the auction, each party shall use such information solely for purposes relating to the transaction and shall not disclose it except:
- with the consent of the relevant party;
- where required by law;
- where necessary to enforce legal rights.
11.9Headings
Section headings are included solely for convenience and shall not affect the interpretation of these Auction Terms.
11.10Interpretation
Unless the context requires otherwise:
- words in the singular include the plural and vice versa;
- references to persons include both natural persons and legal entities;
- references to legislation include any amendments, replacements or successor legislation.
11.11Survival
Any provision which by its nature is intended to survive completion or termination of the auction shall remain in effect, including provisions relating to:
- payment obligations;
- confidentiality;
- dispute resolution;
- governing law;
- limitation of liability;
- indemnification;
- record retention;
- intellectual property.
11.12Final Acknowledgement
By participating in the auction, each Buyer acknowledges that they have:
- read these Auction Terms in full;
- understood their rights and obligations;
- had the opportunity to seek independent legal or professional advice if desired;
- accepted these Auction Terms voluntarily;
- agreed to be legally bound by them throughout the auction process and any resulting transaction.
Part XII — Final Provisions
12.1Effective Date
These Auction Terms become effective immediately upon acceptance by the Buyer during the registration process for the relevant auction.
They shall remain in force until all obligations arising from the auction have been fully performed or otherwise terminated in accordance with applicable law.
12.2Duration
These Auction Terms apply exclusively to the auction identified on the corresponding Auction Page.
Each new auction constitutes a separate contractual relationship and requires independent acceptance of the applicable Auction Terms.
12.3Relationship with the Platform
These Auction Terms govern the contractual relationship between the Organizer and the Buyer in connection with the relevant auction.
The use of the Platform itself remains governed by the AOS Platform Terms.
Nothing in these Auction Terms modifies or replaces the Platform Terms except where expressly stated.
12.4Digital Audit Trail
The parties acknowledge that all legally significant actions performed through the Platform may be securely recorded, including:
- account registration;
- identity verification;
- acceptance of legal documents;
- bids submitted;
- automatic bidding activity;
- payment confirmations;
- ownership transfer milestones;
- communications generated by the Platform.
These records form part of the official audit trail of the auction and may be relied upon as evidence to the extent permitted by applicable law.
12.5Platform Integrity
The Organizer and the Buyer acknowledge that the integrity of the Platform and of the auction process depends upon honest participation, transparency and compliance with these Auction Terms.
Neither party shall knowingly engage in conduct that could undermine the fairness, security or reliability of the auction.
12.6Future Platform Features
AOS may introduce additional Platform functionality from time to time, including features relating to:
- bidding;
- payments;
- identity verification;
- artificial intelligence;
- communications;
- analytics;
- logistics;
- integrations;
- reporting.
Unless expressly stated otherwise, such functionality shall automatically become subject to these Auction Terms and the AOS Platform Terms.
12.7Electronic Execution
The parties expressly agree that all actions performed through the Platform, including acceptance of these Auction Terms, submission of bids, payment authorizations and other legally significant actions, may be executed electronically.
Electronic records generated by the Platform shall have the same legal effect as equivalent paper records, to the fullest extent permitted by applicable law.
12.8Contact Information
Questions relating to these Auction Terms or to the relevant auction should be directed to the Organizer using the contact information published on the Auction Page.
Questions relating to the operation of the Platform may be directed to AOS through the official support channels published on the Platform.
12.9Version Control
Each auction shall be governed by the version of these Auction Terms that was accepted by the Buyer at the time of registration.
The Platform shall retain a record of the applicable version for audit and evidentiary purposes.
12.10Entire Legal Framework
These Auction Terms form part of the AOS Legal Framework, which includes, where applicable:
- AOS Platform Terms;
- AOS Standard Auction Terms;
- Privacy Policy;
- Cookie Policy;
- any additional legal policies expressly incorporated by reference.
Together, these documents establish the complete legal framework governing the use of the Platform and the conduct of auctions through AOS.
12.11Good Faith
The Organizer, the Buyer and AOS agree that these Auction Terms shall be interpreted in accordance with the principles of:
- good faith;
- transparency;
- fairness;
- commercial reasonableness;
- international best practices for online auctions.
12.12Final Acceptance
By completing registration and participating in the auction, the Buyer confirms that they:
- have read these Auction Terms in their entirety;
- understand the rights and obligations arising from them;
- agree to be legally bound by these Auction Terms;
- acknowledge that these Auction Terms constitute a legally binding agreement governing their participation in the auction.
The Organizer likewise agrees to conduct the auction in accordance with these Auction Terms and all applicable laws.
12.13Language and Prevailing Version
This document may be provided in translated versions for convenience.
In the event of any discrepancy or conflict of interpretation between the English version and any translation, the English version shall prevail.
Appendix — Organizer Additional Conditions
A.1Auction Conditions
All horses are sold by auction under these conditions. Each lot is sold to the highest accepted bidder at the fall of the hammer or at the close of the online bidding window. The organizer may refuse a bid, withdraw a lot, or reopen bidding in case of dispute. Registration and approval are required before bidding. All descriptions are provided in good faith based on information supplied by the seller.
A.2Commission
The seller pays a commission of 10% on the hammer price. A buyer premium of 2% is added to the hammer price. The resulting total, plus applicable VAT, forms the purchase invoice. No hidden costs are charged beyond those stated before bidding.
A.3Payment Policy
The full invoice amount is payable by bank transfer within five (5) business days of the sale. Ownership and risk transfer to the buyer only after full payment has been received. Late payment entitles the organizer to cancel the sale and claim damages.
A.4Veterinary Policy
Available veterinary reports and X-rays are published with each lot and form part of the description. Buyers are invited to review them (with their own veterinarian) before bidding. Unless expressly stated otherwise, horses are sold in the condition described in the published veterinary information.
A.5Delivery Conditions
The horse remains at the seller's stable at the seller's risk until full payment. Collection is arranged between buyer and seller within ten (10) days of payment. Transport, export documents and related costs are for the buyer's account unless agreed otherwise in writing.
A.6Cancellation Policy
A bid is binding and cannot be withdrawn. If the buyer fails to pay within the agreed term, the organizer may rescind the sale, resell the horse, and recover any shortfall and costs from the defaulting buyer.
A.7Applicable Law
These conditions are governed by the law of the organizer's country of establishment. Any dispute will first be addressed in good faith between the parties; failing resolution, the courts of the organizer's registered seat have jurisdiction.
